WearCheck-Water Laboratory: Quotation, Contract Terms, and Conditions of Issue
Dear Customer,
Thank you for your request to submit a quotation for the analysis of your samples. WearCheck-Water Laboratory is an ISO/IEC 17025 accredited laboratory and is committed to producing quality results within the shortest possible turnaround time.
The laboratory operates according to a strict quality control system (refer to Section 7 below) and established procedures, and further information regarding our quality system or procedures can be provided on request.
Our quotation for the services we are able to offer (“the quote”) is set out below and is subject to the terms and conditions referred to in this document. Should you decide to accept our quote and submit samples for analysis, please complete the Sample Submission Sheet (FR0027), sign in the space indicated, and return it with the samples; acceptance of this quotation constitutes a binding contract between the customer and WearCheck-Water Laboratory in accordance with our contract terms and Standard Terms and Conditions, available on request.
Please note that microbiological analyses are time-sensitive, and delays due to non-payment may result in samples being held beyond recommended holding times, which can compromise the accuracy and reliability of results; in line with ISO/IEC 17025:2017 and international standards, microbiological samples should be analysed within 48 hours of sampling, as analysis outside this timeframe may not accurately reflect the original sample condition—prompt payment is therefore required to ensure result integrity.
Where applicable, the laboratory will provide colour-coded reports indicating compliance or non-compliance against the applicable standards specified by the customer, or by laboratory recommendation.
I. Contract and Service Terms
1.1. Procedures and Basic Charges
The charges for analytical services provided by WearCheck-Water Laboratory are as per the quote. Prices are subject to automatic increase to cover statutory cost increases on critical inputs, such as labour, import duties on specialised reagents and CRMs, regulated utility surcharges (e.g., water and electricity tariffs), and any new environmental levies or surcharges
2. Payment Terms and Suspension of Service
Standard Payment: Unless otherwise provided, all payments for services rendered by WearCheck -Water Laboratory shall be paid in full within 30 days from the date of statement. Payment must be made by direct electronic transfer (EFT) into the designated WearCheck Water Laboratory bank account (refer to Page 1 for bank account details)
Quote-Specific Payment: The client shall pay WearCheck-Water Laboratory the fees calculated in accordance to the quote, which shall be paid within 30 days after receiving an invoice in respect thereof, if the customer has an account. New customers must pay the full amount due upfront until their account is approved.
Suspension: If the customer fails to pay any amount owed on due date, WearCheck-Water Laboratory shall have the right without notice to suspend the supply of services and, in particular, to withhold the results of any samples which have been analysed. In such event, WearCheck-Water Laboratory shall not be liable for any loss or damage incurred by the customer.
3. Operational Requirements and Turnaround Time (TAT)
3.1 Purchase Order: Before WearCheck-Water Laboratory will commence any services hereunder it must be in receipt of a duly authorised purchase order. Cash customers must submit a signed submission sheet together with proof of payment.
3.2 Hazards: The Customer must inform WearCheck-Water Laboratory in advance of any known hazards or dangers, actual or potential, associated with any order or samples or testing including, for example, environmental pollution or poisons.
3.3 Quote Validity: This quote will be valid for a period of 30 days after the date on page 1 of this document.
3.4 Sample Delivery: The samples are to be delivered to WearCheck-Water Laboratory by the customer, accompanied by an official order and the completed "Sample Submission Sheet".
3.5 Turnaround Time: WearCheck-Water Laboratory aims to deliver results for in-house test methods within 5-10 working days, provided samples are received before 12:00 PM on the day of submission, or as otherwise agreed with the customer. It is agreed that time is not of the essence and any delay in completing such services shall not be regarded as a breach of this agreement
3.6 Analysis Basis: Samples may be analysed on an "as received basis" unless otherwise requested in writing by the customer.
3.7 Domicilium: The customer chooses the physical addresses and facsimile numbers referred to above as its domicilium et executandi for all purposes relating to this agreement.
4. Methods Used and Capability
4.1 Capability: All staff are suitably qualified to perform the analysis.
4.2 Resources: Appropriate laboratory equipment is available.

5. Sample Kits
Any sample kit/samples received by WearCheck Water Laboratory where the sample collection date exceeds three (3) months will be subject to the Laboratory's discretion for refusal of analysis.
6. Sample Retention
Samples will be retained for a period of 2 weeks unless otherwise agreed with the customer.
Hazardous water samples should be collected after analysis and discarded safely at the client's expense. Should WearCheck-Water Laboratory need to dispose of the hazardous samples, the client is liable for the cost of subcontracting the safe disposal.
7. Quality Control
WearCheck-Water Laboratory is an ISO 17025 accredited laboratory. Quality Control is an integral part of our procedures. Should quality control information specific to any tests be required, it may be obtained from the WearCheck-Water Laboratory's Quality Co-ordinator. A comprehensive laboratory service will be supplied at all times, but analytical programmes may vary according to circumstances or technical advances.
II. Legal Terms and Indemnities
8. Jurisdiction, Governing Law, and Legal Costs
8.1 Governing Law: All contracts concluded between WearCheck-Water Laboratory and the Customer shall be construed and governed by South African law.
8.2 Jurisdiction: The Customer hereby consents to the jurisdiction of the appropriate Magistrate's Court for the purpose of any litigation, notwithstanding the amount involved. WearCheck-Water Laboratory, however, reserves the right to institute proceedings in any competent division of the High Court of South Africa.
8.3 Legal Costs: In the event of WearCheck-Water Laboratory instituting legal proceedings against the Customer due to default, the Customer shall be liable to pay WearCheck-Water Laboratory all legal costs so incurred including attorney and client costs, tracing charges and collection fees.
9. Delivery, Carriage, Risk, and Ownership
9.1 Delivery Dates: All dates for delivery are estimates only, and WearCheck-Water Laboratory shall not be liable for any failure to meet such dates.
9.2 Passing of Risk and Ownership (Goods):
Ownership of any goods supplied by WearCheck Water Laboratory will remain the property of WearCheck Water Laboratory until the full purchase price has been paid. However, the risk of loss, damage, or deterioration of the goods transfers to the Customer upon delivery.
Where goods are transported by an independent carrier, delivery to the carrier will be deemed delivery to the Customer, and both ownership (upon full payment) and risk will pass accordingly. The carrier shall be regarded as the Customer’s agent. Where goods are transported by WearCheck Water Laboratory’s own vehicles, risk will transfer to the Customer upon delivery to the Customer’s premises, while ownership remains vested in WearCheck Water Laboratory until payment is made in full.
10. Confidentiality (Reports)
10.1 Laboratory Policy: All information from customers, including work done and results generated shall be kept confidential and not shared, except if agreed by the customer. Customers will be notified when required by law to release confidential information, unless prohibited by law.
10.2 Quotation Disclosure: The customer will be informed in writing if the laboratory intends to make any information about an assignment publicly available. This information will be provided before starting the activities.
10.3 Third Party Information: Information about customers obtained from sources other than the customer shall be confidential between the customer and the laboratory. The provider (source) of the information shall be confidential to the laboratory and shall not be shared with the customer, unless agreed by the source.
11. Limitations of Liability (Reports)
WearCheck-Water Laboratory Analysis Reports are issued subject to the following conditions and reservations:
11.1 Consequential Loss: WearCheck-Water Laboratory is exempted from and shall not be liable under any circumstances whatsoever for any loss of profits or indirect or consequential loss or damages suffered as a result of any error or inaccuracy in a report, whether attributable to negligence or not.
11.2 Direct Liability: Whilst reasonable care has been taken in the compilation of this report, WearCheck-Water Laboratory will not accept liability for any loss or damage whatsoever, direct or indirect, arising out of the use of this report. Any claim shall be limited to the refund of the amount paid for this report.
11.3 Suspension/Withholding: The customer indemnifies WearCheck-Water Laboratory against all claims of whatsoever nature arising out of any suspension or withholding of results due to non-payment.
11.4 Email Transmission: The customer agrees that once permission is given for reports to be emailed to them, WearCheck-Water Laboratory shall not be held liable for any errors or problems arising from the transmission of e-mail as this is beyond our control.
12. Returns, Credits, and Claims
12.1 Credits: Credits will only be issued for jobs where no analysis has been performed.
12.2 Loss/Misplacement: WearCheck-Water Laboratory shall not be obliged to pass any credit of any nature due to the loss or misplacement of goods, unless such loss is attributable to WearCheck-Water Laboratory ‘s negligence and has occurred whilst the goods are in WearCheck-Water Laboratory’s possession.
12.3 Claims Lapse: All claims shall lapse and be unenforceable unless lodged in writing with WearCheck at their head office within thirty days after the date upon which the report was despatched.
